Terms and Conditions

These Terms & Conditions (“Terms”) govern access to and use of the Direct Research Supply website, customer accounts, products, ordering services, communications, and related services (collectively, the “Services”).

These Terms constitute an agreement between you (“you,” “your,” “customer,” or “purchaser”) and Direct Research Supply (“DRS,” “we,” “us,” or “our”).

By accessing the Site, creating an account, placing an order, submitting payment, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated into them by reference.

If you do not agree to these Terms, do not use the Services or purchase products from DRS.

1. Eligibility and Age Requirement

You must be at least 18 years of age to purchase products from DRS.

By creating an account, placing an order, or completing an age acknowledgment, you represent and warrant that:

  • You are at least 18 years of age;
  • You have legal capacity to enter into these Terms;
  • The information you provide to DRS is accurate and not materially misleading;
  • You are purchasing products exclusively for legitimate research purposes;
  • Your purchase, possession, importation, handling, and intended research use of the products are lawful in the jurisdiction applicable to you; and
  • You will comply with these Terms and all applicable laws and regulations.

DRS may request additional information regarding a customer’s identity, age, organization, role, research purpose, intended application, or eligibility to purchase.

DRS reserves the right to refuse service, restrict purchasing privileges, cancel an order, suspend an account, or terminate an account where we reasonably believe eligibility requirements have not been satisfied or information provided to DRS is false, incomplete, inconsistent, or misleading.

2. Research Use Only

ALL PRODUCTS OFFERED BY DIRECT RESEARCH SUPPLY ARE SOLD EXCLUSIVELY FOR LEGITIMATE LABORATORY AND RESEARCH PURPOSES.

Products are not offered or intended for:

  • Human consumption;
  • Human administration;
  • Veterinary use or administration;
  • Diagnostic use;
  • Therapeutic use;
  • Treatment, prevention, mitigation, or cure of any disease or medical condition;
  • Personal experimentation or self-administration;
  • Food, drug, cosmetic, or household use; or
  • Any purpose inconsistent with legitimate laboratory or research use.

By purchasing a product from DRS, you expressly represent that the product is being acquired solely for legitimate research purposes and will not be used for any prohibited purpose described in these Terms.

The Research Use Only designation is a material condition of every sale.

3. No Human or Veterinary Use

DRS does not authorize, encourage, recommend, support, or condone the use of any product sold through the Site in humans or animals.

Nothing appearing on the Site, on product packaging, in laboratory documentation, in customer communications, or in any other DRS material should be interpreted as suggesting that a product is suitable for human or veterinary use.

Product names, research descriptions, references to scientific literature, analytical data, or other technical information are provided for identification, documentation, or legitimate research purposes only and do not constitute authorization for personal, medical, diagnostic, therapeutic, or veterinary use.

4. No Medical, Veterinary, Dosing, Administration, or Personal-Use Advice

DRS will not provide dosing, administration, injection, reconstitution for personal use, treatment, cycle, protocol, medical, veterinary, or other human-use guidance.

This restriction applies before and after purchase.

DRS will not:

  • Recommend a human or veterinary dose;
  • Calculate or confirm a personal-use dose;
  • Provide injection or administration instructions;
  • Provide personal-use reconstitution instructions;
  • Recommend frequency, duration, cycling, stacking, or titration;
  • Advise whether a product is appropriate for a person or animal;
  • Provide treatment recommendations;
  • Interpret symptoms or health outcomes;
  • Provide medical or veterinary advice; or
  • Assist a customer in using a product for a prohibited purpose.

Customer support is limited to appropriate matters such as product identification, available analytical documentation, account questions, ordering, payment, fulfillment, shipping, and other legitimate commercial or research-related inquiries.

Customers who request prohibited human or veterinary use guidance, state or imply an intent to use products personally, or otherwise violate our Research Use Only requirements may have an order refused or cancelled and may have their account or purchasing privileges suspended or terminated at DRS’s discretion.

5. Customer Responsibility and Research Eligibility

The customer is solely responsible for determining whether the purchase, possession, handling, transportation, importation, exportation, storage, and intended research use of a product are lawful and appropriate for the customer’s jurisdiction and research environment.

DRS does not undertake to determine every law, regulation, licensing requirement, institutional requirement, or other restriction applicable to every customer or jurisdiction.

Acceptance of an order by DRS does not constitute a representation that the purchaser’s intended conduct is lawful, licensed, institutionally approved, or otherwise permitted.

The customer is responsible for obtaining any licenses, permits, approvals, institutional authorizations, or other permissions required for the customer’s activities.

6. Right to Refuse Service, Cancel Orders, or Terminate Accounts

DRS reserves the right, to the extent permitted by applicable law, to refuse or discontinue service to any person or organization.

We may refuse, hold, modify, or cancel an order, restrict purchasing privileges, suspend an account, or terminate an account where we reasonably believe that:

  • A customer does not satisfy our eligibility requirements;
  • A product may be intended for human, veterinary, diagnostic, therapeutic, or other prohibited use;
  • A customer has requested prohibited dosing or administration guidance;
  • A customer has provided false, misleading, inconsistent, or incomplete information;
  • An order appears fraudulent, abusive, unlawful, or suspicious;
  • A payment presents a fraud, security, or verification concern;
  • A customer has violated these Terms or another DRS policy;
  • Fulfillment would create an unacceptable legal, regulatory, operational, or security risk; or
  • DRS is otherwise unable or unwilling to complete the transaction lawfully.

Where payment has already been received for an order that DRS elects not to fulfill, any refund or other disposition of funds will be handled in accordance with applicable law, the payment method involved, and our Refund & Returns Policy.

7. Products and Product Information

DRS attempts to provide accurate product information. However, product descriptions, specifications, photographs, packaging, availability, laboratory documentation, and other information may be corrected, revised, or updated from time to time.

Minor differences in packaging, labels, appearance, photography, manufacturing presentation, or other non-material characteristics may occur.

Product photographs are provided for identification and illustration and may not reproduce exact physical appearance under all lighting, displays, or production conditions.

If an obvious typographical, pricing, technical, or product-description error is discovered, DRS reserves the right to correct the error and, where appropriate, cancel or modify an affected order subject to applicable law.

8. Product SKUs and Variations

Products and variations may be assigned Stock Keeping Units (“SKUs”) or other internal identifiers to support inventory management, ordering, and fulfillment.

Customers are responsible for reviewing the selected product, variation, quantity, specification, and other order information before submitting an order.

9. Product Availability and Inventory Changes

DRS works to maintain accurate inventory information, but inventory availability may change between the time an order is submitted and the time it is fulfilled.

An item appearing as available on the Site does not constitute an absolute guarantee that the full requested quantity will remain available through fulfillment.

If availability changes before shipment, DRS may, where reasonably necessary:

  • Reduce the quantity of an affected item;
  • Remove an unavailable item from the order;
  • Place an affected item or order on hold;
  • Offer an alternative where appropriate; or
  • Cancel the affected portion of the order.

When an order must be materially modified because of availability, DRS will make reasonable efforts to contact the customer using the contact information provided with the order before shipment.

Any applicable price adjustment or refund resulting from an unavailable item will be handled in accordance with the circumstances of the order, applicable payment method, and applicable law.

10. Independent Analytical Testing

DRS believes customers should be able to distinguish between products for which independent analytical testing is available and products for which such testing is not available.

Select products may be submitted to independent third-party laboratories for analytical testing.

Not every product offered by DRS has been independently tested by DRS, and DRS does not represent otherwise.

Where DRS has obtained independent analytical testing for a product, the available laboratory report may be provided on the applicable product listing or through another appropriate method.

11. Scope and Limitations of Laboratory Reports

A laboratory report reflects only the sample submitted, the analytical methods used, the characteristics actually tested, and the results reported by the laboratory.

Customers are responsible for reviewing the report itself to determine what analyses were performed.

Unless a particular characteristic is expressly included in the applicable report, the customer should not assume that characteristic was tested.

Without limitation, a laboratory report should not be interpreted as independently establishing:

  • Sterility;
  • Endotoxin status;
  • Microbiological safety;
  • Safety for any particular use;
  • Efficacy;
  • Clinical suitability;
  • Regulatory approval;
  • Compliance with pharmaceutical manufacturing standards;
  • Suitability for human consumption or administration;
  • Suitability for veterinary use; or
  • Any characteristic that was not specifically analyzed.

Laboratory reports and Certificates of Analysis are provided for analytical and research documentation purposes only.

12. No Representation of Regulatory Approval

Unless expressly and accurately stated otherwise for a particular product, DRS does not represent that products offered through the Site have been approved, licensed, cleared, or authorized by the U.S. Food and Drug Administration or any other governmental or regulatory authority for human, veterinary, diagnostic, therapeutic, or other regulated use.

The presence of analytical testing, a Certificate of Analysis, product specification, or other documentation does not constitute regulatory approval.

13. Pricing

Prices are displayed on the Site in the applicable currency and are subject to change without notice prior to order submission.

Prices displayed at the time an order is submitted generally apply to that order, except where an obvious pricing error, technical malfunction, fraud issue, inventory issue, or other circumstance justifies correction or cancellation under applicable law.

Unless expressly stated otherwise, product prices do not include shipping, customs duties, import taxes, brokerage charges, or other fees imposed by third parties or governmental authorities.

14. Order Submission and Acceptance

Submitting an order does not necessarily constitute final acceptance of that order by DRS.

All orders may be subject to:

  • Availability;
  • Payment confirmation;
  • Fraud and security screening;
  • Age and eligibility requirements;
  • Research Use Only requirements;
  • Compliance review;
  • Shipping restrictions;
  • International import considerations; and
  • Other reasonable commercial or legal review.

DRS may refuse or cancel an order before fulfillment where permitted by these Terms and applicable law.

15. Payment Methods

DRS currently accepts supported cryptocurrency payments through its checkout system.

Available payment methods, cryptocurrencies, and blockchain networks are displayed during checkout and may change over time.

DRS may introduce additional payment methods in the future, including credit cards, debit cards, or other third-party payment services.

A payment method displayed or discussed on the Site does not guarantee that the method will remain available for every order, jurisdiction, customer, or transaction.

16. PayRam and Cryptocurrency Payments

DRS currently uses a self-hosted PayRam implementation for supported cryptocurrency payment functionality.

Customers are responsible for carefully reviewing all payment information before submitting a cryptocurrency transaction.

This includes verifying:

  • The cryptocurrency being sent;
  • The correct blockchain network;
  • The destination address;
  • The payment amount;
  • Any applicable network fees; and
  • Any other payment instructions displayed during checkout.

Cryptocurrency transactions generally cannot be reversed after they are broadcast or confirmed on the applicable blockchain.

DRS is not responsible for funds lost because a customer:

  • Sends funds to an incorrect address;
  • Uses an unsupported blockchain network;
  • Sends an unsupported cryptocurrency or token;
  • Sends an incorrect amount;
  • Fails to include sufficient network fees;
  • Uses incorrect payment information not supplied by DRS; or
  • Otherwise submits a transaction incorrectly.

This limitation does not apply to the extent responsibility cannot lawfully be excluded.

Customers should never provide a cryptocurrency private key or seed phrase to DRS. DRS does not require a customer’s private keys or seed phrase to accept payment.

17. Blockchain Transactions

Cryptocurrency transactions may be recorded permanently on decentralized or public blockchain networks that are not controlled by DRS.

Confirmation times, network fees, congestion, outages, chain reorganizations, protocol changes, wallet behavior, and other blockchain-related conditions may be outside DRS’s control.

DRS is not responsible for delays or failures caused exclusively by conditions of an external blockchain network, wallet provider, or other third-party technology, except to the extent otherwise required by applicable law.

18. Shipping and Fulfillment Locations

DRS uses separate fulfillment processes for U.S. and international orders.

Orders shipping to U.S. addresses are fulfilled through our U.S. warehouse or fulfillment location.

Orders shipping to addresses outside the United States are fulfilled through our international warehouse or fulfillment location.

The applicable fulfillment location is generally determined by the destination shipping address rather than the nationality or residence of the purchaser.

19. Domestic Shipping

Standard shipping to eligible U.S. addresses is currently charged at a flat rate of $30 per order, unless a different amount is clearly displayed during checkout.

Domestic orders generally arrive within approximately 3 to 7 business days after shipment.

Delivery estimates are estimates and not guarantees.

Actual delivery times may be affected by carrier delays, weather, holidays, incorrect addresses, security events, logistical disruptions, or other circumstances outside DRS’s reasonable control.

20. International Shipping

International shipping to eligible destinations is currently charged at a flat rate of $80 per order, unless a different amount is clearly displayed during checkout.

International delivery times vary by destination and are not guaranteed.

International shipments may be affected by:

  • Customs processing;
  • Import inspection;
  • Carrier availability;
  • Local delivery practices;
  • Public holidays;
  • Government action;
  • Documentation requirements;
  • Destination-country restrictions; and
  • Other events outside DRS’s reasonable control.

21. International Import Compliance

Customers ordering delivery outside the United States are responsible for determining whether the products they order may lawfully be imported, possessed, received, stored, and used for research purposes in the destination jurisdiction.

DRS does not guarantee that every product is eligible for importation into every country or jurisdiction.

The customer is responsible for any licenses, permits, declarations, registrations, approvals, or other requirements imposed by the destination jurisdiction.

DRS reserves the right to decline shipments to jurisdictions or destinations presenting legal, regulatory, logistical, fraud, security, or other concerns.

22. Customs Duties, Taxes, and Import Charges

Unless expressly stated otherwise, international customers are responsible for customs duties, import taxes, value-added taxes, brokerage charges, handling fees, or other governmental or carrier-imposed charges associated with an international shipment.

Such charges are generally imposed by third parties and are not included in the DRS international shipping fee unless expressly stated otherwise.

23. Shipping Addresses

Customers are responsible for providing a complete, accurate, and deliverable shipping address.

Customers should review shipping information carefully before submitting an order.

If you discover an address error, contact DRS as soon as possible. DRS cannot guarantee that an address can be changed after fulfillment or shipment has begun.

Additional costs resulting from incorrect, incomplete, undeliverable, or improperly entered address information may be the customer’s responsibility where permitted by applicable law.

24. Discreet Packaging

Orders are generally shipped in plain, discreet external packaging without unnecessary DRS branding.

This practice is intended to respect customer privacy and avoid unnecessarily identifying the nature of an order during ordinary transportation and delivery.

Products inside a shipment are labeled or otherwise identified as appropriate for accurate fulfillment and product identification.

Discreet packaging is not intended to conceal information from customs authorities, carriers, law enforcement, regulators, or other parties legally entitled to information regarding a shipment.

25. Shipment Delays and Delivery Estimates

Any shipping or delivery timeframe provided by DRS is an estimate unless expressly identified as a guaranteed service.

DRS will make reasonable efforts to fulfill and ship orders in accordance with the shipping information provided to customers and applicable law.

DRS is not responsible for delays caused solely by carriers, customs authorities, weather, natural disasters, labor disruptions, governmental action, network outages, transportation interruptions, or other circumstances beyond DRS’s reasonable control.

Nothing in this section limits any non-waivable rights a customer may have under applicable law.

26. Risk of Loss and Delivery Issues

Questions involving loss, theft, damage, misdelivery, or other shipping issues will be evaluated based on the circumstances of the shipment, carrier information, tracking records, applicable shipping terms, and applicable law.

Customers should notify DRS promptly when a shipment appears damaged, incorrect, missing, or materially delayed so that the issue can be investigated.

DRS may request photographs, packaging information, tracking information, written statements, or other reasonable documentation necessary to evaluate a claim.

27. Returns, Refunds, and Cancellations

Due to the nature of research products, sales are generally final after shipment except where otherwise stated in our Refund & Returns Policy or required by applicable law.

Eligibility for cancellation, replacement, credit, refund, or other resolution depends on the circumstances of the order and is governed by the Refund & Returns Policy in effect at the time of the transaction, together with applicable law.

Customers should review the separate Refund & Returns Policy before placing an order.

28. Damaged or Incorrect Orders

If an order arrives damaged or contains an incorrect product, contact DRS promptly.

We may request reasonable documentation, including photographs of the shipment, exterior packaging, shipping label, affected product, or other relevant materials.

DRS will evaluate qualifying claims and determine an appropriate resolution consistent with our Refund & Returns Policy and applicable law.

29. Customer Accounts

Customers may be permitted or required to create an account to access certain Site functionality or place orders.

You are responsible for:

  • Providing accurate account information;
  • Maintaining the security of your account credentials;
  • Preventing unauthorized use of your account;
  • Updating information when reasonably necessary; and
  • Promptly notifying DRS if you believe your account has been compromised.

You may not impersonate another person, create an account using fraudulent information, circumvent account restrictions, or use another person’s account without authorization.

30. Account Suspension and Termination

DRS may suspend, restrict, or terminate an account where reasonably necessary to protect DRS, customers, third parties, the security of the Services, or compliance with these Terms and applicable law.

Reasons may include:

  • Research Use Only violations;
  • Requests for prohibited human or veterinary use assistance;
  • Suspected fraud;
  • False account or order information;
  • Payment abuse;
  • Security threats;
  • Harassment or abuse of staff;
  • Attempts to circumvent previous account restrictions;
  • Unlawful conduct; or
  • Material violation of these Terms.

31. Prohibited Website Conduct

You may not use the Site or Services to:

  • Violate applicable law;
  • Commit fraud or impersonation;
  • Interfere with Site operation or security;
  • Introduce malware or malicious code;
  • Probe, scan, or test Site security without authorization;
  • Attempt unauthorized access to accounts, servers, databases, or systems;
  • Automate abusive requests or interfere with Site availability;
  • Scrape or harvest personal information unlawfully;
  • Circumvent eligibility, age, account, ordering, or security restrictions; or
  • Use the Site in a manner that materially harms DRS, customers, service providers, or third parties.

32. Intellectual Property

The Site and its original content, branding, logos, graphics, photographs, product presentation, text, layout, and other materials may be protected by copyright, trademark, trade dress, or other intellectual-property laws.

Except as permitted by applicable law or with prior authorization, you may not reproduce, distribute, commercially exploit, falsely attribute, or create misleading copies of DRS proprietary materials.

Nothing in these Terms grants ownership of DRS intellectual property to a customer or Site visitor.

33. Third-Party Content and Services

The Site may interact with or reference third-party services, laboratories, carriers, payment systems, blockchain networks, service providers, or websites.

DRS does not control independent third parties and is not responsible for their acts, omissions, availability, terms, security practices, privacy practices, or content except to the extent responsibility may arise under applicable law.

A reference to a third party does not necessarily constitute endorsement, sponsorship, partnership, or affiliation.

34. Privacy

Personal information collected through the Site is handled in accordance with the DRS Privacy Policy.

By using the Services, you acknowledge that information may be processed as described in the Privacy Policy, subject to applicable privacy law.

35. Electronic Communications

By using the Site, creating an account, placing an order, or communicating electronically with DRS, you consent to receive transactional and service-related communications electronically where permitted by law.

These communications may include:

  • Account notices;
  • Order confirmations;
  • Payment information;
  • Shipping and tracking information;
  • Policy notices;
  • Security notifications;
  • Customer-service communications; and
  • Other communications reasonably related to the Services.

Transactional communications are distinct from marketing communications and may be necessary to administer an account or order.

36. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT FOR ANY EXPRESS WARRANTIES THAT DRS CANNOT LAWFULLY DISCLAIM OR THAT DRS EXPRESSLY PROVIDES IN WRITING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRS DISCLAIMS IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WHERE SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

DRS DOES NOT WARRANT THAT:

  • The Site will operate without interruption or error;
  • Every product will remain continuously available;
  • Every third-party service will remain available;
  • Delivery estimates will always be achieved;
  • Any product is appropriate for an undisclosed or prohibited purpose; or
  • Analytical testing establishes characteristics that were not actually tested.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot legally be excluded.

37. No Warranty for Prohibited Use

DRS expressly disclaims, to the maximum extent permitted by law, any representation or warranty concerning the suitability of a product for human consumption, human administration, veterinary use, diagnostic use, therapeutic use, or other prohibited personal use.

Any such use is contrary to the express conditions under which DRS products are offered.

38. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SITE, SERVICES, OR PRODUCTS WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

This may include, where permitted by law, loss of profits, loss of business opportunity, loss of data, business interruption, or similar consequential losses.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRS WILL NOT BE LIABLE FOR INJURY, DAMAGE, OR LOSS RESULTING FROM A CUSTOMER’S USE OF A PRODUCT FOR HUMAN, VETERINARY, DIAGNOSTIC, THERAPEUTIC, PERSONAL, UNLAWFUL, OR OTHERWISE PROHIBITED PURPOSES.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

39. Limitation on Aggregate Liability

To the maximum extent permitted by applicable law, and except for liability that cannot lawfully be limited, DRS’s aggregate liability arising from a particular order or transaction will not exceed the amount actually paid to DRS for the specific product or order giving rise to the claim.

This limitation is intended to apply regardless of the legal theory asserted, to the extent permitted by law.

40. Customer Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless DRS and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, losses, damages, costs, and reasonable expenses arising out of or relating to:

  • Your material violation of these Terms;
  • Your unlawful use of the Services;
  • Your prohibited use of a product;
  • Your false representations regarding age, eligibility, or intended use;
  • Your violation of applicable law or third-party rights; or
  • Your unauthorized or improper handling, resale, transfer, or use of a product.

This provision does not require indemnification to the extent prohibited by applicable law or to the extent a claim results from conduct for which DRS may not lawfully disclaim responsibility.

41. Force Majeure and Events Beyond Reasonable Control

To the extent permitted by applicable law, DRS will not be responsible for delay or failure in performance caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, governmental action, embargo, customs action, transportation disruption, carrier failure, labor disputes, infrastructure failures, cyberattacks, telecommunications outages, blockchain network failures, supply-chain disruptions, or other similar events.

This provision does not excuse obligations that applicable law does not permit DRS to avoid.

42. Governing Law

These Terms and transactions with DRS will be governed by the laws applicable to the jurisdiction in which DRS maintains its principal place of business, without regard to conflict-of-law principles, except where another law must apply and cannot lawfully be waived.

Nothing in this provision deprives a customer of mandatory rights or protections that applicable law does not permit the customer to waive.

43. Disputes and Good-Faith Resolution

Before initiating formal proceedings concerning a dispute arising from an order or the Services, we encourage customers to contact DRS and provide a reasonable opportunity for the matter to be reviewed and, where appropriate, resolved.

Nothing in this section prevents either party from seeking urgent relief where reasonably necessary or exercising a right that cannot lawfully be restricted.

44. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

If the provision cannot be made enforceable, it will be severed, and the remaining provisions will continue in effect to the fullest extent permitted by law.

45. No Waiver

A failure or delay by DRS to enforce a provision of these Terms does not constitute a waiver of that provision or of DRS’s right to enforce it later.

A waiver of one violation does not constitute a waiver of another or subsequent violation unless expressly stated in writing.

46. Assignment
